Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Social Automate platform and related services ("Services") provided by Click Automate ("we," "us," or "our"). By creating an account or using our Services, you agree to be bound by these Terms.

1. Account Registration

To use our Services, you must create an account with a valid email address and password. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your account credentials
  • All activity that occurs under your account, including actions taken by team members you invite
  • Notifying us immediately of any unauthorized access to your account

You must be at least 18 years old to create an account. Account owners may invite team members with specific roles (Owner, Admin, Member), and the account owner is responsible for their team's compliance with these Terms.

2. Description of Services

Social Automate is a multi-tenant SaaS platform that provides:

  • Social media inbox management for Facebook and Instagram direct messages and comments
  • AI-powered message classification, sentiment analysis, and suggested responses
  • A visual workflow builder for automating responses, routing, and notifications
  • Contact relationship management (CRM) with lead scoring, tags, and lifecycle tracking
  • Integration with third-party services including Meta (Facebook/Instagram), HubSpot, and AI providers
  • Automation rules for auto-tagging, assignment, and message routing
  • Team collaboration tools including assignments, notes, and real-time presence
  • Analytics and reporting dashboards

3. Acceptable Use

You agree not to use our Services to:

  • Violate any applicable law, regulation, or third-party rights
  • Send spam, unsolicited messages, or messages that violate Meta's Platform Policies or Messenger Platform terms
  • Transmit malware, viruses, or any destructive code
  • Attempt to gain unauthorized access to our systems or other users' accounts
  • Scrape, crawl, or harvest data from our platform beyond what the Services provide
  • Reverse engineer, decompile, or disassemble any part of our Services
  • Use our Services to harass, abuse, or harm any person
  • Resell, sublicense, or redistribute our Services without written permission

We reserve the right to suspend or terminate accounts that violate these Terms or engage in abusive behavior, with or without notice.

4. Third-Party Integrations

Meta (Facebook/Instagram)

By connecting your Facebook or Instagram pages, you authorize us to access your pages, posts, comments, and direct messages through the Meta Graph API. You must comply with Meta's Platform Terms and are responsible for ensuring you have the necessary permissions to connect each page. You may disconnect your pages at any time from your account settings.

HubSpot

If you enable HubSpot integration, contact data will be synced between our platform and your HubSpot account. You are responsible for your HubSpot account and compliance with HubSpot's terms.

AI Services

Our platform uses AI services from Anthropic and OpenAI to process messages and provide intelligent features. By using these features, you acknowledge that message content may be sent to these providers for processing. AI-generated responses are suggestions only — you are responsible for reviewing and approving all outbound messages.

5. Subscription and Billing

Our Services are offered on a subscription basis with different tiers. By subscribing to a paid plan:

  • You authorize us to charge your payment method through Stripe on a recurring basis
  • Subscription fees are billed in advance and are non-refundable except as required by law
  • We may change pricing with 30 days' notice; continued use after the change constitutes acceptance
  • You may cancel your subscription at any time; access continues through the end of your current billing period
  • Free tier accounts may have feature limitations and usage caps

6. Your Data and Content

You retain ownership of all data and content you upload or generate through our Services ("Your Content"). By using our Services, you grant us a limited license to process, store, and transmit Your Content solely to provide and improve the Services.

You are responsible for ensuring you have the right to use and share any content processed through our platform, including contacts' personal information and message content. You must comply with applicable data protection laws (including GDPR and CCPA where applicable) regarding your contacts' data.

7. Workflows and Automation

Our workflow automation features allow you to create automated responses and actions. You acknowledge that:

  • You are solely responsible for the content and behavior of workflows you create
  • Automated messages sent through your workflows are sent on your behalf and under your responsibility
  • We recommend testing workflows before deploying them to live conversations
  • We are not liable for unintended consequences of automated actions, including messages sent to the wrong contacts or at wrong times

8. Intellectual Property

Our Services, including the platform, software, design, logos, and documentation, are owned by Click Automate and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Services as described herein.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Our Services are provided "as is" and "as available" without warranties of any kind, whether express or implied
  • We do not warrant that our Services will be uninterrupted, error-free, or secure
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our Services
  • Our total liability for any claims related to our Services is limited to the amount you paid us in the 12 months preceding the claim
  • We are not responsible for actions taken by Meta, HubSpot, or other third-party services, including API changes, rate limits, or account suspensions

10. Indemnification

You agree to indemnify and hold harmless Click Automate, its officers, employees, and agents from any claims, losses, or damages (including reasonable attorney's fees) arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your violation of any third-party rights, including Meta's Platform Terms
  • Content or messages sent through your account, whether manual or automated

11. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to the Services will be revoked at the end of your current billing period (or immediately for cause)
  • You may request an export of your data within 30 days of termination
  • We will delete your data within 30 days after the export period, except where retention is required by law
  • Provisions that by their nature should survive termination (including liability limitations, indemnification, and dispute resolution) will remain in effect

12. Dispute Resolution

Any disputes arising from these Terms or your use of our Services will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You agree to resolve disputes individually and waive any right to participate in class actions. The arbitration will take place in San Francisco, California, and be governed by California law.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through a notice in the platform at least 30 days before the changes take effect. Your continued use of our Services after the effective date constitutes acceptance of the updated Terms.

14. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Click Automate
  • Severability: If any provision of these Terms is found invalid, the remaining provisions remain in full effect
  • No Waiver: Our failure to enforce any provision does not constitute a waiver of that provision
  • Assignment: You may not assign your rights under these Terms without our consent; we may assign ours in connection with a merger, acquisition, or sale of assets
